Decision outside a meeting

A decision outside a meeting is a proposal that all persons entitled to vote agree to in writing or by email. Under the Model Regulations 2017 it equals a meeting decision.

Not every decision needs a meeting. Under the Model Regulations 2017, a proposal that all persons entitled to vote have agreed to in writing, by email or through an electronic means chosen by the meeting is equal to a decision of the meeting (article 54.3).

The requirement is unanimity of everyone entitled to vote, not just of those who respond. One owner who does not respond or votes against means there is no decision.

For small VvE's, such as an upstairs and downstairs flat, this is often the quickest route. Write the proposal down clearly, have everyone agree explicitly and keep the replies with the minutes. Check whether your regulations allow this; older regulations may set other requirements.
