The Wet digitale algemene vergadering privaatrechtelijke rechtspersonen (Staatsblad 2026, 161) adds paragraphs 4 to 11 to article 5:127 BW as of 1 January 2027. Whoever is authorised to call the meeting can then decide that it is also or exclusively accessible electronically.
The conditions: participants must be identifiable, able to vote directly and able to follow the meeting and take part in the discussion through a two-way audiovisual connection (paragraph 8). Members holding at least a quarter of the votes together can ask, up to seven days after the notice, for the meeting to also be accessible in person (paragraphs 5 to 7). The notice states how to take part and vote (paragraph 11).
Votes cast electronically in advance only count if the articles provide for it, and no earlier than thirty days before the meeting (paragraph 9). Until 1 January 2027, digital meetings depend on your regulations.
