The VvE is a legal entity (article 5:124 BW) and is registered in the Trade Register of the Chamber of Commerce (KVK) (article 6(1)(b) Trade Register Act). Every board member is obliged to file the registration (article 18). A change, such as a new board, must be reported no later than one week after it occurs (article 20(2)). The Model Regulations 2017 also require the board to have the VvE, its board members and changes registered without delay (article 57.2).
To register a (new) board, the KVK asks for the signed minutes and the attendance list of the meeting in which the board was appointed.
An up-to-date registration matters in practice: banks, insurers and notaries check the Trade Register to see who may represent the VvE. If an old board is still registered, this can delay opening an account or issuing a statement on sale.
